Formly – Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Formly platform and related services ("Formly", "Service", "we", "our", "us"). By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.

About Formly

Formly is an online software platform that enables users to create digital forms, collect responses, and accept payments for services or products using third-party payment providers. Formly provides technical infrastructure only and does not sell, offer, or provide any goods or services made available through forms created using the Service.

Eligibility

You must be at least 18 years old and have full legal capacity to create an account and use Formly. If you use Formly on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

Account Registration and Security

To use Formly, you must create an account and provide accurate, complete, and up-to-date information. You are responsible for safeguarding your login credentials, all activities performed under your account, and ensuring that access to your account complies with these Terms. Account sharing is prohibited unless explicitly allowed under your subscription plan.

Subscription Plans and Fees

Formly offers free and paid subscription plans as described on our website. Paid subscriptions renew automatically on a monthly or annual basis unless canceled before the renewal date. You may cancel your subscription at any time via your account settings. Fees already paid are non-refundable unless mandatory provisions of Polish or EU law provide otherwise.

Customer Content and Ownership

You retain full ownership of all forms, data, responses, files, and other content created or uploaded using Formly (Customer Content). By using the Service, you grant Formly a limited, non-exclusive, worldwide license to host, process, transmit, and display Customer Content solely for the purpose of providing and improving the Service. Formly does not acquire ownership rights to Customer Content.

Data Protection and Privacy

When you collect personal data through forms created using Formly, you act as the Data Controller within the meaning of Regulation (EU) 2016/679 (GDPR). Formly acts solely as a Data Processor, processing personal data on your behalf and in accordance with applicable data protection laws, our Privacy Policy, and our Data Processing Agreement (DPA). You are solely responsible for providing respondents with appropriate privacy notices, obtaining lawful bases and consents for data processing, handling data subject requests, and ensuring compliance with GDPR and other applicable regulations.

Payments and Stripe Connect

Formly facilitates payments using Stripe Connect, a third-party payment processing service provided by Stripe, Inc. and its affiliates (Stripe). Formly does not process payments directly and does not store payment card details. The seller of record is the Formly user who creates the form or offer. Formly is not a party to transactions between sellers and their customers. By using payment features, you agree to comply with Stripe's applicable agreements and policies, including the Stripe Terms of Service and Stripe Privacy Policy. All payment-related disputes, refunds, chargebacks, and claims must be resolved directly between the seller and the customer.

Taxes, VAT, and Invoicing

Formly does not provide tax, accounting, or legal advice. You are solely responsible for determining applicable taxes (including VAT), collecting and remitting taxes to the appropriate authorities, issuing invoices or receipts, and complying with Polish, EU, and other applicable tax regulations. Formly bears no responsibility for your tax or invoicing obligations.

Acceptable Use Policy

You agree not to use the Service for unlawful, misleading, or fraudulent purposes; violate consumer protection, data protection, or e-commerce laws; interfere with the security or integrity of the Service; access the Service using unauthorized automated tools; upload or distribute illegal, harmful, or offensive content; or reverse-engineer, decompile, or modify the Service. Formly reserves the right to suspend or terminate accounts that violate these rules.

Third-Party Services

The Service may integrate with third-party services, including payment processors, analytics providers, or external platforms. Formly is not responsible for the availability, functionality, or data practices of third-party services. Your use of such services is governed exclusively by their respective terms and policies.

Suspension and Termination

Formly may suspend or terminate your account if you breach these Terms, misuse the Service, fail to pay applicable fees, or use the Service in a way that exposes Formly to legal, financial, or security risk. You may delete your account at any time. Account deletion is permanent and results in the irreversible loss of all Customer Content.

Service Availability and Changes

Formly strives to provide reliable access to the Service but does not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue parts of the Service at any time for operational, legal, or security reasons.

Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, Formly disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by Polish and EU law, Formly shall not be liable for indirect, incidental, special, or consequential damages. Formly's total liability arising from or related to the Service shall not exceed the total fees paid by you to Formly in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Formly from any claims, losses, damages, liabilities, and expenses arising from your use of the Service, your violation of these Terms, your transactions with customers, or your failure to comply with applicable laws or regulations.

Changes to These Terms

Formly may update these Terms from time to time. You will be notified of material changes via email or in-app notice. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Poland. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts in Warsaw, Poland.
